Proposal: License Beraborrow CDP Codebase to Yari Under Controlled IP Agreement (40% Revenue Share to POLLEN)

TLDR

This proposal authorises Beraborrow DAO to grant Yari a licensed, non-exclusive, revocable right to use the Beraborrow CDP codebase, protected by strict licenses, for the deployment of the Yari CDP on Katana.

Yari is an independent project.

There are no ownership, governance, or operational ties between Yari and Beraborrow.
The relationship is strictly limited to licensing Beraborrow’s leading CDP codebase.

In return, Yari will pay Beraborrow DAO 40% of all protocol revenue, which must be used for POLLEN buybacks.

1. Background

Beraborrow’s CDP and periphery product system is intellectual property fully owned by the Beraborrow DAO.

Yari is a separate, independent project building a CDP product for Katana, a high-performance L2 designed for parallel execution and AMM-native liquidity.

Yari seeks to license Beraborrow’s proven CDP architecture because of:

  • its reliability

  • its track record across $500M+ in processed volume

  • its stability mechanisms

  • its modular liquidation framework

This agreement does not create any affiliation beyond licensing.
Yari remains fully independent, its brand, governance, community, and operations are entirely separate.

At the same time, Yari aims to become a key component of the expanding Katana ecosystem, providing access to high-quality borrowing and leverage infrastructure built on Beraborrow’s CDP model.

2. Purpose of This Proposal

The DAO is voting to approve:

  1. A restricted, revocable licence allowing Yari to use the Beraborrow codebase

  2. Strict IP protection ensuring Beraborrow retains full ownership

  3. Yari’s deployment on Katana using the licensed code

  4. A mandatory 40% revenue share from Yari → Beraborrow DAO

  5. POLLEN buybacks powered by that revenue

  6. A formal recognition that Yari is an independent external protocol

3. Licensing Terms (DAO-Enforced)

3.1 Licence Type

Beraborrow DAO grants Yari a:

  • non-exclusive

  • non-transferable

  • revocable

  • usage-only licence

to use the Beraborrow CDP codebase (“Licensed Code”).

3.2 Independence Clause

  • Yari is fully independent and not owned, controlled, or directed by Beraborrow DAO.

  • This agreement does not establish:

    • joint venture

    • partnership

    • affiliation

    • governance linkage

    • brand linkage

  • Yari operates as its own protocol, with its own roadmap, token, contributors, and users.

  • The only relationship between the two protocols is:
    Yari is licensing the Beraborrow codebase under the terms defined here.

3.3 Scope of Permitted Use

Yari may use the Licensed Code solely for:

  • deploying the Yari CDP on Katana

  • operating the Yari protocol

  • upgrading, modifying, or extending the code within the Yari platform

No other usage is permitted.

3.4 Prohibited Use

Yari may NOT:

  • sublicense or resell the code

  • launch additional CDPs or forks without DAO approval

  • represent Yari as a Beraborrow product

  • imply a governance or ownership link

3.5 Revocation Rights

The DAO may revoke access by majority vote if Yari:

  • violates IP terms

  • deploys unapproved forks

  • attempts unauthorised sublicensing

  • creates systemic or reputational risk

Upon revocation, Yari must immediately cease usage of the Licensed Code.

4. Revenue Sharing

Yari will pay Beraborrow DAO:

Yari will remit revenue share payments to the Beraborrow DAO at the end of each calendar quarter.
Yari will also provide monthly financial reports to the Beraborrow SubDAO for review and transparency.

If any payment is delayed beyond 10 days, a late-payment penalty will apply, and the SubDAO may initiate a licence compliance review.

All revenue calculations are subject to an independent third-party audit at the request of the DAO.

Yari shall pay 40% of all protocol revenue.

Payments will be made in USDC, USDT, WBTC, WETH, or any alternative asset mutually agreed upon by the SubDAO.

Use of Funds

100% of revenue must be used for:

POLLEN buybacks on the open market

Managed by the Beraborrow SubDAO.

5. Additional Clarifications

5.1 Yari operates independently on Katana

Yari is not a Beraborrow extension.
It is an autonomous Katana-native product that incorporates Beraborrow’s CDP mechanics through a licence.

5.2 Yari as a Key Part of the Katana Ecosystem

The DAO acknowledges that:

  • Yari aims to be a core CDP primitive on Katana,

  • expanding access to high-quality borrowing infrastructure,

  • increasing demand for KAI (stablecoin) and spot leverage.

7. Closing

This agreement allows Beraborrow to monetise its CDP codebase while preserving full IP ownership and maintaining clear separation from Yari as an independent protocol.

At the same time, Yari becomes a key CDP primitive on Katana, expanding Beraborrow’s influence, fuelling POLLEN buybacks, and strengthening cross-chain adoption.

This is a strictly licence-based, non-governance, non-affiliation relationship that delivers real revenue and ecosystem expansion.
